These Terms and Conditions govern the provision of network infrastructure and related services by NextGen Networking Ltd (“NextGen Networking ”, “we”, “us”) to its customers (“the Customer”).
By engaging NextGen Networking , the Customer agrees to be bound by these Terms and Conditions.
NextGen Networking provides a range of network infrastructure and technical services including, but not limited to:
Network design and planning
Structured network cabling
Wireless network design and installation
Wireless surveys and optimisation
Hardware configuration
CCTV installation
Access control systems
Server room fit out and infrastructure
Warehouse and industrial network integration
Project management and consultancy
The specific services to be provided will be agreed in writing between NextGen Networks and the Customer (the “Contract”).
The Customer agrees to:
Provide NextGen Networking with all necessary access, information, and documentation required to deliver the services
Cooperate with NextGen Networking during installation, configuration, and troubleshooting
Ensure safe access to site and compliance with health and safety requirements
Pay all fees in accordance with the agreed payment terms
Comply with all applicable laws and regulations
Invoices are payable within 30 days of the invoice date, unless otherwise agreed in writing.
NextGen Networking reserves the right to suspend services if payment is not received by the due date.
Fees for services will be set out in the Contract or quotation.
NextGen Networking reserves the right to adjust fees with reasonable notice where ongoing services are provided.
The Contract will commence on the agreed Effective Date and will continue until terminated by either party with 30 days written notice.
NextGen Networking may terminate the Contract immediately if the Customer breaches these Terms and Conditions.
All intellectual property rights in any designs, documentation, configurations, and materials provided by NextGen Networks remain the property of NextGen Networks unless otherwise agreed in writing.
The Customer is granted a non exclusive, non transferable licence to use such materials for internal business purposes only.
Both parties agree to keep confidential all non public information disclosed during the course of the Contract, including commercial, technical, and operational information.
NextGen Networking’s total liability for any claim arising out of or in connection with the services shall not exceed the fees paid by the Customer in the preceding 12 months.
NextGen Networking shall not be liable for indirect, consequential, or economic losses including loss of profit, loss of data, or business interruption.
These Terms and Conditions are governed by the laws of England and Wales.
The parties submit to the exclusive jurisdiction of the English courts.
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, communications, and representations.
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver shall be effective unless in writing and signed by both parties.

Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, war, strikes, or government actions.

These Terms and Conditions may be executed in counterparts, each of which shall be deemed an original.
